1. Agreement to Terms

By accessing or using Fluit.io ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Fluit.io is a video review and collaboration platform designed specifically for video creators, production teams, and agencies. Our Service enables you to upload, share, review, and collaborate on video content with frame-perfect precision.

2. Description of Service

Fluit.io provides the following core services:

  • Video upload and secure cloud storage
  • Frame-perfect annotation and commenting tools
  • AI-powered feedback summarization and prioritization
  • Built-in task management for video production workflows
  • Team collaboration and sharing capabilities
  • Version control for video assets
  • Client review links with no account requirement

3. User Accounts and Responsibilities

3.1 Account Creation

To use Fluit.io, you must create an account using either email authentication (magic link) or Google OAuth. You are responsible for maintaining the security of your account credentials.

3.2 Prohibited Activities

You agree not to:

  • Upload illegal, harmful, or copyrighted content you don't own
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service to distribute malware, spam, or phishing content
  • Reverse engineer, decompile, or extract source code from the platform
  • Resell or redistribute the Service without explicit permission
  • Exceed rate limits or abuse API endpoints
  • Share account credentials with multiple users to circumvent seat limits

4. Content Ownership and Rights

4.1 Your Content

You retain all ownership rights to the video content you upload to Fluit.io. By uploading content, you grant Fluit.io a limited, non-exclusive license to store, process, and deliver your content solely for the purpose of providing the Service.

4.2 AI Processing

Our AI features analyze comments and feedback to generate summaries and task prioritization. This processing is performed solely to enhance your workflow. We do not use your content to train AI models or share it with third parties beyond necessary service providers (such as our video processing and storage infrastructure partners).

4.3 Content Deletion

You may delete your content at any time. Upon account cancellation or deletion, we will permanently remove your content from our active systems within 30 days, except where retention is required by law or for legitimate business purposes (such as backup archives).

5. Subscription Plans and Payments

5.1 Billing Cycles

Fluit.io offers monthly subscription plans. All plans include a 1-month free trial with no credit card required. After the trial period, you will be charged according to your selected plan.

5.2 Plan Tiers

  • Free: Limited features for evaluation purposes
  • Starter ($4.99/month): 500 GB storage, 2 seats, full feature access
  • Team ($13.99/month): 2 TB storage, 10 seats, priority support, advanced analytics
  • Agency ($23.99/month): 4 TB storage (extendable), 20 seats, dedicated support, custom integrations

5.3 Cancellation and Refunds

You may cancel your subscription at any time from your dashboard. Cancellations take effect at the end of the current billing period. We do not offer prorated refunds for partial months.

5.4 Storage Overages

If you exceed your plan's storage limit, you will be notified and given the option to either delete content or upgrade to a higher tier. We may temporarily suspend uploads if storage limits are significantly exceeded.

6. Service Availability and Limitations

6.1 Uptime

While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Service. Scheduled maintenance will be announced in advance when possible.

6.2 File Size and Format Limitations

We support all standard video formats (MP4, MOV, WebM, AVI) up to 4K resolution. Individual file sizes may be limited based on your subscription tier and our infrastructure capabilities.

6.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service with 30 days' notice to paid subscribers. In the event of service discontinuation, we will provide tools to export your content.

7. Privacy and Data Security

Your use of Fluit.io is also governed by our Privacy Policy. We implement enterprise-grade security measures, including:

  • End-to-end encryption for data in transit (TLS 1.3)
  • Encryption at rest for all stored video content
  • Regular security audits and penetration testing
  • SOC 2 Type II compliance (in progress)

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLUIT.IO SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss beyond our reasonable control
  • Third-party actions or content uploaded by users

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that risks harm to other users or our infrastructure.

Upon termination, your access to the Service will cease, and we may delete your data according to our retention policies.

10. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to all active subscribers at least 30 days before taking effect. Continued use of the Service after changes constitute acceptance of the updated Terms.
